Terms and conditions
The rules we work by, in plain words. They apply to every proposal you accept on our website.
Who we are
Markai Studio di Carlos Ortega, Via Marco Emilio Lepido 2, 42122 Reggio Emilia (RE), P.IVA 03133020358, REA RE-370476, info@markaistudio.it, PEC carlos@ionospec.it
Proposal and acceptance
Once we understand what you need, we send you a written proposal with what we'll do, timing and price. It is valid until the date shown. When you type your name and press “I accept the proposal”, the contract is concluded: we record name, date and time and email you the confirmation.
Prices and payment
Amounts are those in the proposal and are final: we are under the Italian flat-rate scheme (regime forfettario), so no VAT is charged (art. 1, commi 54-89, L. 190/2014). If the scheme changes, the proposal says so. For small projects we ask no deposit: you pay on delivery. For larger projects we start with the deposit shown in the proposal (usually 20%) and the rest is paid on delivery. Payments go through Stripe; the invoice follows separately.
Delivery
The work is delivered when it works as described in the proposal and we have shown it to you. We need the access and information we ask for: if they arrive late, timing shifts accordingly.
Monthly fee
If the proposal includes a monthly fee, it covers running on our server, monitoring, the small changes listed and AI usage up to the cap stated in the proposal. We warn you before you reach the cap: you decide whether to raise it, and we charge nothing extra without your OK. It starts 30 days after delivery. You can cancel any time with 30 days' notice, with no penalty. Third-party costs that depend on your usage (for example paid WhatsApp messages or phone minutes beyond those included) are stated in the proposal.
What stays yours
Accounts (WhatsApp, Google, email, management software) stay in your name, as do your data and content. The tools and method we work with remain ours. If you stop the service, we return your data and access.
Artificial intelligence
The assistants we set up always say they are an AI, in writing and on the phone, from the first message or the start of the call (AI Act, art. 50), and pass important cases to a person. An AI can make mistakes: that's why answers rely only on the information you give us, and you can check and correct them.
We do not build high-risk systems under the AI Act (for example recruitment, credit scoring or decisions on essential services). If your request fell into these cases, we would tell you before accepting it.
As the one using the assistant with your customers, you agree not to ask it to hide that it is an AI and to use it only for the purposes described in the proposal.
Personal data
When we process your customers' data on your behalf, we act as data processor (art. 28 GDPR) and sign the related agreement with you, which lists the providers involved. The data stays on our server in the European Union; messages pass through the AI model provider only to generate replies. Otherwise our privacy policy applies.
Liability
We are liable for our work up to the amount you paid us in the last 12 months, except for wilful misconduct or gross negligence. We are not liable for outages of third-party platforms (for example Meta, Google or your phone provider).
Who we work with
Our services are only for businesses, professionals and people starting a business or professional activity: they are not offered to consumers (art. 3 Italian Consumer Code). By accepting the proposal you confirm you are acting for your business, even if it has not started yet.
Law and courts
Italian law applies. The courts of Reggio Emilia have jurisdiction.
